1. Acceptance of Terms

By accessing or using this Site, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Site or submit any inquiries. These Terms constitute a legally binding agreement between you and APEX SPM.

These Terms may be updated from time to time to reflect international compliance standards. Continued use of the Site following any changes constitutes acceptance of the revised Terms.

2. Products & Services

APEX SPM designs, manufactures, and supplies custom Special Purpose Machines (SPMs) and industrial automation equipment. View our Company Overview for facility details. Our core offerings include:

3. Quotations & Orders

Request for Quotation (RFQ)

Submitting a request for quotation through our Contact page constitutes a non-binding inquiry. A formal quotation will be provided by our sales engineering team based on the review of your CAD drawings and production requirements. Quotations are valid for 60 days from the date of issue.

Order Confirmation & Customization

An order is confirmed only upon receipt of a signed purchase order and deposit payment. Because APEX machines are custom-built to order, design modifications may be required during the engineering and manufacturing process to optimize tooling feasibility. We will notify you of any significant changes that affect function, specifications, or delivery timelines.

4. Intellectual Property

Our Content

All content on this Site — including text, graphics, logos, product images, and software — is the property of APEX SPM or our content suppliers and is protected by Chinese and international intellectual property laws.

Your Content & Drawings

By submitting part drawings, CAD files, technical specifications, or other materials (“Customer Materials”), you represent and warrant that you have the right to share such materials. You retain full ownership of your IP.

Machine Design Rights

The mechanical design, control software, tooling configurations, and manufacturing processes developed by APEX SPM for your machine remain proprietary to APEX SPM. We retain rights to reuse general engineering solutions in future non-competing machines.

5. Confidentiality & NDAs

We routinely execute formal Non-Disclosure Agreements (NDA) prior to receiving detailed CAD drawings. Request our standard NDA template via email.

6. Machine Warranties

APEX SPM provides a limited warranty against manufacturing and material defects for 12 months from the date of Factory Acceptance Test (FAT) at our facility, or 18 months from the date of shipment — whichever occurs first.

Warranty Coverage Includes:

• Mechanical components: spindles, bearings, gears, ball screws (under normal wear)
• Electrical components: CNC controllers, servo drives, motors
• Hydraulic and pneumatic components natively supplied by APEX SPM

Warranty Exclusions:

The warranty strictly excludes consumable parts (cutting tools, seals), damage resulting from improper operation, power surges, lacking maintenance, or unauthorized modifications by the end-user.

7. Shipping & Delivery

Shipping Terms

Unless otherwise specified in the formal quotation, all machines are shipped under EXW Taizhou (Ex Works, Incoterms 2020). The buyer assumes all risks and costs (loading, export clearance, customs, freight, insurance) from the moment the machine is available at our factory in China.

Timelines & Delays

Standard delivery lead times are 3–6 months. APEX SPM shall not be liable for delays caused by force majeure events, port strikes, or supply chain disruptions. Visible damage upon delivery must be reported to the freight forwarder within 5 business days.

8. Payment Terms

Standard payment terms for international machine orders are:

• 30% deposit upon order confirmation (non-refundable).
• 70% balance payment prior to shipment after successful FAT verification.

Established Letters of Credit (L/C) are available at our discretion for orders exceeding $50,000 USD. Payments are processed via Wire Transfer in USD or EUR. Bank transfer fees are borne by the buyer.

9. Limitation of Liability

To the maximum extent permitted by applicable law, APEX SPM’s total liability arising from any machine, quotation, or service shall not exceed the total amount actually paid by you for the specific machine giving rise to the claim.

We shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits or production downtime, regardless of the form of action.

10. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the People’s Republic of China.

Any dispute shall first be attempted to be resolved through good-faith negotiation. If negotiation fails within 30 days, the dispute shall be submitted to CIETAC (China International Economic and Trade Arbitration Commission) for arbitration in Shanghai, conducted in English and Chinese, with the award being final and binding.
