These Terms of Service ("Terms") govern your access to and use of the website https://apexspm.com (the "Site") and the quotation, engineering, and machine supply services offered by Zhejiang Haochen Intelligent Equipment Co., Ltd. ("APEX SPM," "we," "our," or "us"). By browsing this Site or submitting a request for quotation, you agree to be bound by these Terms.
By accessing or using this Site, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Site or submit any inquiries. These Terms constitute a legally binding agreement between you and APEX SPM.
These Terms may be updated from time to time. Continued use of the Site following any changes constitutes acceptance of the revised Terms. The "Last updated" date at the top of this page indicates the most recent revision.
APEX SPM designs, manufactures, and supplies custom Special Purpose Machines (SPMs), industrial automation equipment, and related services. Our product offerings include but are not limited to:
All machines are custom-engineered to each customer's specific part drawings, production targets, and factory conditions. Product specifications, pricing, and lead times provided on this Site or in quotations are for reference only and may vary based on final engineering confirmation.
Submitting a request for quotation through our Site or directly via email constitutes a non-binding inquiry. A formal quotation will be provided by our sales engineering team based on review of your part drawings and production requirements. All quotations are valid for 60 days from the date of issue unless otherwise stated.
An order is confirmed only upon receipt of a signed purchase order and deposit payment as specified in the formal quotation. Once confirmed, the order is binding on both parties with respect to specifications, pricing, and delivery terms outlined in the quotation.
Because all APEX SPM machines are custom-built to order, design modifications may be required during the engineering and manufacturing process. We will notify you of any significant changes that affect function, specifications, or delivery timeline. Minor adjustments required for manufacturing feasibility do not constitute a change to the order unless they materially affect performance parameters agreed in the quotation.
All content on this Site — including text, graphics, logos, product images, specifications, catalogs, and software — is the property of APEX SPM or our content suppliers and is protected by Chinese and international intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any Site content without our prior written consent.
By submitting part drawings, CAD files, technical specifications, or other materials ("Customer Materials") through our Site or via direct communication, you represent and warrant that you have the right to share such materials and that doing so does not infringe the intellectual property rights of any third party. You retain all ownership of your Customer Materials.
The mechanical design, control software, tooling configurations, and manufacturing processes developed by APEX SPM for your machine are proprietary. Unless expressly agreed in writing, APEX SPM retains all rights to reuse general engineering solutions, software modules, and design approaches developed during the course of your project in future machines for other customers.
APEX SPM treats all Customer Materials — including part drawings, production volumes, factory layouts, and technical requirements — as strictly confidential. We do not disclose, share, or use such information for any purpose other than preparing quotations and fulfilling your order.
We are prepared to execute a formal Non-Disclosure Agreement (NDA) prior to receiving detailed part drawings or technical specifications. Standard NDA terms are available on request. Contact our sales team at sales@apexspm.com to initiate an NDA.
Each APEX SPM machine is covered by a limited warranty against defects in materials and workmanship for a period of 12 months from the date of Factory Acceptance Test (FAT) at our manufacturing facility in Taizhou, China, or 18 months from the date of shipment — whichever occurs first.
Under normal use and proper maintenance, APEX SPM will repair or replace, at our discretion, any component found to have manufacturing defects. Warranty coverage includes:

To request warranty service, contact our after-sales team with the machine serial number, a description of the issue, and supporting evidence (photos, error codes, or operating logs). We will respond within 24 business hours with an initial diagnosis and resolution plan.
To the maximum extent permitted by applicable law, APEX SPM's total liability arising from or related to any machine, quotation, or service — whether based on contract, tort, warranty, or any other legal theory — shall not exceed the total amount actually paid by you for the specific machine or service giving rise to the claim.
APEX SPM shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of production, loss of business opportunity, or cost of substitute equipment, even if we have been advised of the possibility of such damages.
These limitations apply regardless of the form of action and even if any limited remedy set forth in these Terms is found to have failed of its essential purpose.
Unless otherwise specified in the formal quotation, all machines are shipped under EXW Taizhou (Ex Works, Incoterms 2020) — meaning the buyer assumes all risks and costs from the moment the machine is made available at our factory in Taizhou, Zhejiang Province, China. These include loading, export clearance, customs documentation, freight, insurance, and delivery to the destination.
Standard delivery lead times are 3–6 months from order confirmation, depending on machine complexity, custom engineering requirements, and current production scheduling. Exact delivery dates will be confirmed in the formal quotation and purchase agreement.
APEX SPM shall not be liable for delays caused by events beyond our reasonable control, including but not limited to natural disasters, government actions, pandemics, supply chain disruptions, or force majeure events. We will notify you promptly of any anticipated delays and work to minimize impact.
Upon receipt of the machine at your facility, you should inspect the shipment for visible damage within 5 business days and report any issues in writing. Failure to report visible damage within this period constitutes acceptance of the shipment in good condition.

Alternative payment terms may be available for established customers or large orders — these will be specified in the formal quotation. All payments are made in USD unless otherwise agreed in writing. Bank transfer fees are borne by the buyer.
These Terms and any dispute or claim arising out of or in connection with them — including their existence, validity, interpretation, performance, or termination — shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions.
Any dispute arising from or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation between the parties. If negotiation fails within 30 days, the dispute shall be submitted to CIETAC China International Economic and Trade Arbitration Commission for arbitration in Shanghai, conducted in English and Chinese, with the arbitration award being final and binding on both parties.
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on this Site. Your continued use of the Site after any changes constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.
